1. Acceptance of Terms

By accessing or using the website adventusfunding.com (the “Site”) and the services provided by Adventus Funding (“we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Site or services.

2. Description of Service

Adventus Funding operates as an Independent Sales Organization (ISO) and a commercial loan broker. We are not a direct lender, bank, or financial institution. Our service consists of connecting businesses seeking commercial funding with third-party lending partners (“Lenders”) who may provide such funding. Any funding agreement you enter into will be strictly between you and the Lender. We do not make credit decisions, and we do not guarantee that your application will be approved.

3. User Obligations

By using our services, you represent and warrant that:

• You are at least 18 years old and have the legal capacity to enter into binding contracts on behalf of your business.
• All information you submit to us, including financial data and business details, is true, accurate, current, and complete.
• You are seeking funding solely for commercial, business, or agricultural purposes, and not for personal, family, or household purposes.
• You will not use our Site for any unlawful or prohibited activities.

4. Disclaimers

OUR SITE AND SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or secure. We do not guarantee the terms, rates, or approval of any funding product offered by a Lender.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADVENTUS FUNDING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY, INCLUDING LENDERS; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

6. Indemnification

You agree to defend, indemnify, and hold harmless Adventus Funding, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your interactions with any Lender.

7. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in the state of New Mexico before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

8. Governing Law

These Terms and any action related thereto will be governed by the laws of the State of New Mexico without regard to its conflict of laws provisions.

9. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes by posting the updated Terms on the Site and changing the “Last Updated” date. Your continued use of the Site following the posting of any changes constitutes acceptance of those changes.
